1. Legal Status & Structure
Dot Square Associates is a trade name operating as a digital recruitment and staffing intermediary. The business is wholly owned and controlled by its proprietor.
- All services are provided by Dot Square Associates as a trade name.
- Any claims arising from your use of our services are claims against the owner of Dot Square Associates in their personal capacity.
- The Company intends to register as a formal business entity (jdoo or doo) in the Republic of Croatia in the future. Upon registration, all rights and obligations under these Terms will transfer to the new entity.
- References in these Terms to "we," "us," "our," or "the Company" refer to Dot Square Associates as a trade name.
You acknowledge and agree that you are contracting with Dot Square Associates as a trade name.
2. Definitions
Throughout these Terms, the following definitions apply:
- "Company," "we," "us," "our" means Dot Square Associates, a trade name operating as a digital recruitment and staffing intermediary.
- "Owner" or "Proprietor" means the individual who owns and operates Dot Square Associates.
- "Services" means the facilitation and introduction services provided by the Company, including candidate sourcing, verification, document collection, and connection with potential employers via electronic means.
- "Candidate" or "Applicant" means any individual seeking employment opportunities who submits their information, CV, certificates, work videos, police clearance, or other documents to us for inclusion in our database and potential introduction to employers.
- "Employer" means any individual, company, organization, or entity seeking to hire candidates through our services.
- "User" means any person or entity that uses our services, including both Candidates and Employers.
- "Introduction" means the act of providing a Candidate's information to an Employer or facilitating direct communication between them via electronic means, after which the Company's role concludes.
- "Database" means the collection of candidate information, CVs, certificates, work videos, police clearance documents, and other materials submitted to us and maintained for potential employer introductions.
- "Verification" means the Company's process of reviewing documents and information provided by Candidates using commercially reasonable efforts, as further described in Section 7.
- "Electronic Means" includes but is not limited to email, contact forms, messaging applications, video conferencing, and other digital communication methods.
- "Confidential Information" means all non-public information relating to the Company including business plans, financial information, candidate and employer databases, and trade secrets.
- "GDPR" means Regulation (EU) 2016/679 of the European Parliament and of the Council, the General Data Protection Regulation.
3. Acceptance of Terms
By contacting us via electronic means, submitting your information or documents, or otherwise using our Services, you agree to be bound by these Terms of Service. If you do not agree to all terms and conditions, you may not use our Services.
These Terms constitute a legally binding agreement between you and Dot Square Associates. You represent and warrant that you have the legal capacity to enter into this agreement. If you are using our Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
We may modify these Terms at any time, with changes effective upon posting to our website. Your continued use of our Services after changes constitutes acceptance of the modified Terms. Material changes will be communicated via electronic means where possible.
4. Services Provided
Dot Square Associates provides the following facilitation services through fully remote and digital operations:
- Digital Communication: We communicate with candidates and employers through various electronic means. These are direct communication channels, not automated platforms requiring user accounts.
- Candidate Database Management: We collect and maintain a database of candidate information, including CVs, educational certificates, professional licenses, police clearance documents, work-related videos, and other relevant materials voluntarily submitted by candidates.
- Sourcing: Identifying and recruiting potential candidates for employment opportunities through our network and direct outreach.
- Verification: Conducting commercially reasonable efforts to verify documents and information provided by Candidates, including reviewing submitted materials for completeness and authenticity where possible.
- Document Collection: Assisting Candidates in gathering and organizing documentation required for international employment (without legal advice or representation).
- Introduction: Facilitating direct connections between Candidates and Employers via electronic means, after which the Company's role concludes.
- Information Sharing: Providing Employers with candidate information from our database based on their hiring requirements.
LIMITATION: Our Services are limited to facilitation and introduction. We do not provide legal, financial, immigration, or employment advice. You should consult appropriate professionals for advice specific to your situation. We do not operate an automated platform with user accounts - all interactions are direct communications via electronic means.
5. Not an Employment Agency
- Employ candidates or workers
- Issue employment contracts
- Process payroll or withhold taxes
- Provide worker's compensation, benefits, or insurance
- Sponsor visas or work permits
- Control the terms and conditions of employment
- Supervise, direct, or control the work of any candidate
- Guarantee employment outcomes or job placements
- Act as an agent for either party in employment negotiations
- Become a party to any employment agreement
Our role is strictly limited to introducing Candidates to potential Employers and facilitating the exchange of information as an intermediary. Any employment relationship established as a result of our introduction is solely between the Candidate and the Employer. Dot Square Associates is not a party to any employment agreement and assumes no liability arising from the employment relationship.
Employers acknowledge and agree that they are solely responsible for:
- Verifying candidate qualifications and work authorization through their own independent due diligence
- Conducting their own background checks and reference verification
- Complying with all applicable labor, immigration, tax, and employment laws
- Drafting and executing employment contracts
- All aspects of the employment relationship, including wages, working conditions, benefits, taxes, and termination
6. Digital Operations and Communication
6.1 Remote Operations
The Company operates entirely through remote and digital means. All business activities are conducted electronically, without requirement of physical presence in any particular location.
6.2 Electronic Communication
We communicate with candidates and employers through various electronic means, including but not limited to email, contact forms on our website, messaging applications, and video conferencing. By using our Services, you consent to receiving communications through these electronic channels.
6.3 No User Accounts
IMPORTANT: We do not operate an automated platform with user accounts, logins, or passwords. All interactions are direct communications via electronic means. You do not need to create an account to use our services - you simply contact us directly through the channels provided on our website.
6.4 Response Times
We strive to respond to all inquiries promptly, but response times may vary depending on volume and circumstances. We do not guarantee immediate responses or 24/7 availability.
7. Candidate Submissions and Database
7.1 Information You Submit
As a Candidate, you may voluntarily submit to us via electronic means:
- Your CV or resume
- Educational certificates and diplomas
- Professional licenses and certifications
- Police clearance certificates
- Work-related videos demonstrating your skills
- Identification documents (passport, ID card)
- Contact information (name, phone number, email, location)
- Employment history and references
- Any other information or documents you choose to share
7.2 Your Representations
By submitting any information or documents to us, you represent, warrant, and covenant that:
- All information you provide is true, accurate, and complete to the best of your knowledge.
- All documents you provide are authentic and have not been altered or falsified.
- You have the legal right to share any videos, images, or content you provide.
- You will not misrepresent your qualifications, experience, identity, or any other aspect of your background.
- You understand that our verification efforts are commercially reasonable but do not constitute a guarantee of accuracy or authenticity.
- You are solely responsible for the accuracy of information you provide and for any consequences arising from misrepresentations.
7.3 Database Storage and Use
Information and documents you submit may be stored in our database and used for:
- Potential introduction to employers seeking candidates with your qualifications
- Verification purposes
- Communication with you regarding potential opportunities
- Internal record-keeping
7.4 No Obligation to Retain or Use
We have no obligation to retain any information or documents you submit, to include you in our database, or to present you to any employer. We reserve the right to remove any information from our database at any time for any reason.
7.5 Security of Submitted Information
We implement reasonable security measures to protect your information. However, no method of electronic transmission or digital storage is 100% secure. You submit information at your own risk.
8. Employer Representations and Obligations
As an Employer using our Services, you represent, warrant, and covenant that:
- You have the legal authority to hire employees and conduct business in your jurisdiction.
- You will comply with all applicable laws and regulations governing employment, including but not limited to labor laws, immigration laws, tax laws, and anti-discrimination laws.
- You are solely responsible for conducting your own independent due diligence, background checks, and verification of any Candidate before extending an offer of employment.
- You will not rely solely on our verification efforts and acknowledge that such efforts are for informational purposes only and do not constitute a guarantee.
- You assume full responsibility for all aspects of the employment relationship, including wages, working conditions, benefits, taxes, contracts, and termination.
- You will not use our Services for any unlawful purpose or to discriminate against any Candidate in violation of applicable laws.
- You understand that Dot Square Associates is not a party to any employment agreement and assumes no liability arising from the employment relationship.
- You acknowledge that we do not guarantee the suitability, qualifications, or performance of any Candidate.
9. Fees and Payments
We charge fees for certain Services as follows:
- Employer Fees: Fees for access to our candidate database, custom candidate lists, and introduction services are agreed upon prior to service delivery.
- Candidate Fees: One-time fees for profile submission, verification, and database inclusion may apply. These fees, if any, are disclosed prior to submission.
- Facilitation Fees: Fees for successful introductions may be charged as separately agreed.
All fees are non-refundable except as expressly provided otherwise in writing. We reserve the right to modify our fee structure at any time, with changes effective for future services.
Payment terms, including due dates and accepted payment methods, will be provided at the time of agreement. Late payments may result in suspension of Services.
10. Introduction Process
Our introduction process operates as follows:
- Employer communicates specific hiring needs to us via electronic means.
- We review our database and identify potential Candidates that match the Employer's criteria.
- We provide the Employer with candidate information, including submitted documents and our notes.
- Employer reviews candidate information and indicates interest in specific Candidates.
- We facilitate direct communication between Employer and interested Candidates via electronic means.
- Employer and Candidate negotiate and establish their own employment relationship independently.
- Dot Square Associates' role concludes upon introduction; we are not involved in subsequent negotiations, contracts, or the employment relationship.
We do not guarantee that any introduction will result in employment. The decision to hire rests solely with the Employer, and the decision to accept employment rests solely with the Candidate. The Company is not a party to any employment agreement and assumes no liability for any aspect of the employment relationship.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
11.1 DOT SQUARE ASSOCIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- (i) YOUR USE OR INABILITY TO USE OUR SERVICES;
- (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY;
- (iii) ANY CONTENT OR INFORMATION YOU PROVIDE;
- (iv) UNAUTHORIZED ACCESS TO OR USE OF YOUR INFORMATION;
- (v) ANY EMPLOYMENT DECISIONS MADE BY EMPLOYERS;
- (vi) THE QUALIFICATIONS, TRUTHFULNESS, OR CONDUCT OF ANY CANDIDATE;
- (vii) THE TERMS AND CONDITIONS OF ANY EMPLOYMENT RELATIONSHIP;
- (viii) ANY DISPUTES BETWEEN APPLICANTS AND EMPLOYERS;
- (ix) ANY INACCURACIES OR MISREPRESENTATIONS IN INFORMATION PROVIDED BY CANDIDATES.
11.2 IN NO EVENT SHALL DOT SQUARE ASSOCIATES' TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US DURING THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) ONE HUNDRED EUROS (€100).
11.3 This limitation of liability applies whether the claim is based in contract, tort, negligence, strict liability, or any other legal theory, even if we have been advised of the possibility of such damages.
12. No Employment Relationship
Nothing in these Terms or your use of our Services shall be construed to create an employment relationship, partnership, joint venture, agency, or franchise between you and Dot Square Associates. You acknowledge and agree that:
- Dot Square Associates does not exercise control over the terms and conditions of any employment relationship resulting from introductions.
- Dot Square Associates is not a co-employer, joint employer, or agent of any Employer.
- Dot Square Associates does not supervise, direct, or control the work of any Candidate.
- Dot Square Associates does not set wages, hours, or working conditions.
- Dot Square Associates does not provide worker's compensation, unemployment insurance, health insurance, or other employment benefits.
- Dot Square Associates does not withhold or pay taxes on behalf of any Candidate or Employer.
Employers are solely responsible for all obligations associated with being an employer, including compliance with all applicable laws and regulations governing the employment relationship.
13. Indemnification
You agree to indemnify, defend, and hold harmless Dot Square Associates and its owner from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to:
- (i) Your use of our Services;
- (ii) Your violation of these Terms;
- (iii) Your violation of any rights of any third party, including any Candidate or Employer;
- (iv) Any misrepresentations or false information you provide;
- (v) Any employment relationship established as a result of introductions facilitated by us;
- (vi) Any claims arising from the employment relationship, including claims of negligent hiring, discrimination, wrongful termination, harassment, or workplace injuries;
- (vii) Any claims that candidate-provided information was inaccurate or misleading;
- (viii) Any violation of Applicable Law by you.
14. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DOT SQUARE ASSOCIATES EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- (i) THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
- (ii) WARRANTIES THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
- (iii) WARRANTIES THAT ANY INFORMATION OBTAINED THROUGH OUR SERVICES IS ACCURATE, RELIABLE, OR COMPLETE;
- (iv) WARRANTIES REGARDING THE QUALIFICATIONS, CHARACTER, TRUTHFULNESS, OR SUITABILITY OF ANY CANDIDATE;
- (v) WARRANTIES THAT ANY VERIFICATION EFFORTS WILL IDENTIFY ALL INACCURACIES OR MISREPRESENTATIONS;
- (vi) WARRANTIES THAT ANY CANDIDATE OR EMPLOYER IS WHO THEY REPRESENT THEMSELVES TO BE.
NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
15. Intellectual Property
Our website, brand name, logos, and all related content are the property of Dot Square Associates. You may not use our intellectual property without our express written consent.
License to Use Submitted Materials: By submitting any information, documents, videos, or other materials to us, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and share such materials for the purpose of providing our Services, including sharing with potential employers.
Domain Name: The Domain Name dotsquareassociates.com is the exclusive property of the Company and shall not be used without our express written consent.
16. Data Protection and GDPR Compliance
We are committed to protecting your privacy and complying with the General Data Protection Regulation (GDPR) and all applicable data protection laws.
Data Controller: Dot Square Associates acts as a data controller for the personal information you provide to us. Our handling of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
What We Collect: We collect and store the information you voluntarily provide to us via electronic means, including CVs, certificates, identification documents, work videos, police clearance certificates, and contact information.
Lawful Basis for Processing: We process your personal data based on:
- Consent: You explicitly provide your information for the purpose of potential introduction to employers.
- Legitimate Interests: Processing for verification, record-keeping, and facilitating introductions.
Data Subject Rights: You have the right to access, rectify, erase, restrict processing of, and port your personal data, as well as the right to object to processing. These rights can be exercised by contacting us at the email address provided in Section 28.
Data Security: We implement reasonable security measures to protect your personal information. However, no method of electronic transmission or digital storage is 100% secure.
Data Retention: We retain your personal information only as long as necessary to fulfill the purposes outlined in our Privacy Policy or as required by law, after which it is securely deleted or anonymized.
17. Third-Party Services
We may use third-party services to facilitate our digital operations. These services have their own terms of service and privacy policies. We are not responsible for any issues arising from your use of these third-party services.
Any links to third-party websites are provided for convenience only and do not constitute endorsement. We have no control over and assume no responsibility for the content or practices of any third-party websites.
18. Termination of Relationship
We may terminate our relationship with you and cease providing Services at any time, with or without cause, by notifying you via electronic means.
You may stop using our Services at any time by informing us via electronic means. If you wish for your information to be removed from our database, you may request deletion as described in our Privacy Policy.
All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, limitation of liability, indemnification, and warranty disclaimers.
19. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.
20. Dispute Resolution
20.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us and attempt to resolve the dispute informally for at least thirty (30) days.
20.2 Jurisdiction and Venue
If informal resolution fails, any litigation or judicial proceeding arising from these Terms shall be brought exclusively in the courts of the Republic of Croatia. You consent to the exclusive jurisdiction of such courts.
20.3 Limitation Period
Any claim or cause of action arising under these Terms must be commenced within one (1) year after the claim arises, or such claim shall be permanently barred.
21. Class Action Waiver
YOU AND DOT SQUARE ASSOCIATES AGREE THAT ANY PROCEEDINGS TO RESOLVE ANY DISPUTE, CLAIM, OR CONTROVERSY WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
22. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, pandemics, government actions, natural disasters, cyber-attacks, or failure of telecommunications or internet infrastructure.
23. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
24. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire and exclusive understanding and agreement between you and Dot Square Associates regarding your use of our Services, superseding all prior negotiations, understandings, and agreements.
25. Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver must be explicit and in writing to be effective.
26. Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a future registration as a formal business entity. These Terms shall be binding upon and inure to the benefit of the parties and their respective successors and assigns.
27. Notices
All notices given by you to us must be in writing and sent to the contact information provided in Section 28. We may provide notices to you via electronic means. Notices shall be deemed received upon transmission or delivery.
